What it is

The Resident Agent is the attorney or legally authorized firm that every corporation, foundation, or trust incorporated in Panama must have by law. Without a resident agent your company cannot be registered in the Public Registry or operate legally. It is not optional — it is a requirement for existence.

What we do

We act as your official Resident Agent before the Public Registry of Panama. We are the legal link between your company and the Panamanian State, ensuring your entity meets all of its annual legal obligations.

Legal requirements we handle for you

• Annual Single Tax (Tasa Única): every Panamanian company must pay $300 per year to the DGI to stay active. Non-payment generates fines and can lead to suspension or dissolution of the company.
• Ultimate Beneficial Owner Report: mandatory each year before the Superintendence of Non-Financial Subjects under Law 254 of 2021. The deadline for fiscal period 2024 is July 15, 2025.
• Annual Accounting Records: under Law 624 of 2021 every company must deliver its accounting records to the Resident Agent once a year, even with no operations. Records must cover the last 5 years.

What happens without a resident agent (or if you don’t renew)

• Your company falls into default before the Public Registry.
• Cumulative fines accrue for non-compliance.
• The company may be temporarily suspended.
• In critical cases the company may be permanently dissolved.

• Resident Agent service: from $300 / year.
• Single Tax before the DGI: $300 / year, mandatory by law.
• Legal address for correspondence: $200 / year, if applicable.
• Group Board of Directors: from $250 / year, if applicable.
